Results of Annual General Meeting

Thank you to all members who took part in the Annual General Meeting for Sydney Gay and Lesbian Mardi Gras via Zoom on Saturday.

The Annual Report and Financial Report were presented to members and accepted. The 2020 Annual Report is available to read here.

The meeting gave thanks to Treasurer Christopher Brooke, who is stepping down.

ELECTION FOR BOARD

We are announcing the first three elected directors who passed quota on the first count. They are:

Mel Schwerdt

Jesse Matheson

Alex Bouchet

Due to the complexities of distribution within our rules, manual work was required to verify the fourth position. The scrutineers will meet to verify this result, which we anticipate sharing by the end of the week.

Previous Board members continuing their two-year term are: Kate Wickett, Giovanni Campolo-Arcidiaco, Charlie Murphy and Louis Hudson.

RESOLUTIONS

Eight Special Resolutions and nine Ordinary Resolutions were validly received by Members for consideration. Only the following Resolution(s) were passed by an online vote of members during the AGM. They are:

1a: “That the persons contained in the attached document titled '78ers for Lifetime Membership at the 2020 Annual General Meeting' be granted lifetime membership in the Company, noting that upon approval of the Members that these persons shall be entered on the Register as lifetime members and shall not be required to pay membership fees in accordance with the Company’s constitution.”

1b. “That Mardi Gras’ 2020 Lifetime Achievement Award winner Teresa Leggett be granted lifetime membership in the Company, noting that upon approval of the Members that she shall be entered on the Register as lifetime members and shall not be required to pay membership fees in accordance with the Company’s constitution.” (Read more about Teresa Leggett here).

No other Special Resolutions or Ordinary Resolutions were passed.

Thank you to everyone who entered motions, stood for a position on the Board, advanced proxies, voted online, and sent us your views. Your voices have been heard and your opinions matter greatly to us as we continue to advance an inclusive, diverse and sustainable Mardi Gras festival.

Notice of Annual General Meetings

Notice is hereby given that the Annual General Meeting (AGM) of Sydney Gay & Lesbian Mardi Gras (SGLMG) ABN 87 102 451 785 and Mardi Gras Arts Limited (ACN 158 800 018) will be held on Saturday 5 December 2020 commencing at 11am.

Given the current restrictions introduced as a result of COVID-19, the AGMs for 2020 will be held online through Zoom, with voting taking place via the Vero Voting platform. Members will be sent a unique Zoom link prior to the meeting.

Minutes of Previous Meetings

That the Members confirm the minutes of the following meetings of Members are true and correct records:
2019 Annual General Meeting (AGM) of Sydney Gay and Lesbian Mardi Gras held on Saturday 30 November 2019, and Mardi Gras Arts, also held on Saturday 30 November 2019.

Financial Statements
To receive and consider the Financial Report, the Directors’ Report and the Independent Auditor’s Report for the year ended 30 June 2020. The 2020 Annual Report for the Company will be available to download as a PDF prior to the AGM.

Resolutions
Eight Special Resolutions and nine Ordinary Resolutions were validly received by Members for consideration at the AGM. They are available to view here. The resolutions will be decided by polling of those present at the AGM.

Election of Directors

Director nominations have closed. This year there are 12 candidates for 4 positions on the Executive of Sydney Gay and Lesbian Mardi Gras, so an election will take place.

Voting for candidates will be conducted online through the Vero Voting platform, opening on Friday 20 November and closing 10am on Saturday 5 December. Members will receive log-in details and instructions on how to vote.

IMPORTANT INFORMATION

Voting Entitlement
The members who are entitled to vote are those full members and lifetime members shown in the Register of Members of the Company as of Friday 20 November 2020, with 4pm being the deadline for new member applications to be received.

Proxies
Voting for Resolutions will take place online via the Vero Voting platform during the AGM. Members will be able to nominate a proxy through the Vero Voting platform. Proxy registrations will not be accepted after 5pm on Wednesday 2 December 2020.

 
 

Notice of Elections

Director elections of Sydney Gay and Lesbian Mardi Gras Limited (ACN 102 451 785) (‘SGLMG’) and Mardi Gras Arts Limited (ACN 158 800 018) (‘MGA’) will be held leading into the Annual General Meeting on Saturday 5 December 2020. 
 
Voting will be online through the VeroVoting platform, opening on Friday 20 November and closing Midday on Saturday 5 December. Members will receive log-in details and instructions on how to vote.
 
NOMINATIONS
 
Nominations are invited for 4 director vacancies for a two-year term.
 
Candidates must be nominated by at least one other SGLMG member. Nominations must be submitted in the prescribed form. No person shall qualify to be a Director who is not a SGLMG member.

LODGEMENT OF NOMINATIONS
 
Completed nominations must be received by the Returning Officer through the Candidate Application form by no later than midnight (AEST) Friday 6 November 2020.

If the election is contested the names on the ballot paper will appear as determined by lot by the Returning Officer.
 
The names of the duly nominated candidates will be posted on the SGLMG website and in the office at Suite 6, 94 Oxford Street, Darlinghurst.
