SGLMG was built on the foundations laid by early community activists who fought for LGBTQIA+ rights. We are a not-for-profit member-based organisation that produces the Sydney Gay and Lesbian Mardi Gras Parade and year-round initiatives that celebrate our LGBTQIA+ identity, creative expression, and elevate diverse voices.

We proudly provide a platform for the voices of the LGBTQIA+SB community, and our staff support this mission.

We want to particularly support applications from First Nations community members, Trans and Gender Diverse folks, People of Colour, people with disability and other members of our LGBTQIA+SB communities that may require reasonable adjustment.

Company Secretary

Sydney Gay and Lesbian Mardi Gras (SGLMG) now has a vacancy for the position of Company Secretary pursuant to the Corporations Act 2001.

SYDNEY GAY AND LESBIAN MARDI GRAS IS ACCEPTING EXPRESSIONS OF INTEREST ONLY. CONFIRMATION AND REQUEST FOR PAYMENT WILL OCCUR UPON APPROVAL FROM SYDNEY MARDI GRAS. 

SGLMG is a not-for-profit arts organisation whose vision is to be a global leader in the promotion of diversity, inclusion, equity and social justice through culture, creativity and partnerships. The Board strongly encourages applications from Aboriginal and Torres Strait Islander people, gender and sexuality-diverse individuals, and people with disability.

The Board encourages applications from individuals who are able to significantly advise on Board discussions, planning and Committee work looking ahead to the 2024 season, and beyond. The Board is particularly seeking expressions of interest from individuals with strong skills and experience advising Boards and Board Committees on governance matters, plus NFP knowledge/experience and an understanding of ACNC compliance requirements. Membership of the Governance Institute of Australia or similar preferred.

The Company Secretary will also be responsible for managing the business of Board and Committees, such as coordinating the timely circulation of Board and Committee papers and ensuring that the business at Board and Committee meetings is accurately captured in the minutes. This role also encompasses the effective and timely conducting of business at SGLMG’s annual general meetings and other general meetings. Additionally, you will provide informed advice on best practice in all aspects of corporate governance and compliance, maintain the registered office and its membership lists and be the key company contact for stakeholders, support the Chair, the Board and work with Staff on governance matters.

Expressions of Interest should include a CV (max 3 pages) and a cover letter (max 2 pages) outlining professional and personal experience across the aforementioned skill sets and how it will transfer to the company secretary position with SGLMG.

The Board is particularly interested in meeting with applicants who have experience in gender and sexuality-diverse community organisations, major events and registered charities with DGR status. Advisory Committee Members

Audit and Risk Committee – Independent Committee Members (Voluntary)

The Audit and Risk Committee (the Committee) is a sub-committee of the Board of Directors of Sydney Gay & Lesbian Mardi Gras (SGLMG). The objectives of the Committee are to assist the Board in fulfilling its responsibilities relating to financial and management accounting, financial reporting, and risk management. The Committee is established under the Board Charter to assist the Board in complying with its finance, audit and risk management obligations under the Australian Charities and Not-for-profits Commission (ACNC) and Australian Securities and Investment Commission (ASIC).

In this role, you will be one of the Independent Committee Members working alongside other Board representatives to form the Committee. You will provide expert advice and oversight to the Board regarding risk management, compliance, governance, budgets and financial statements, and the effectiveness of the internal controls, and external and internal audits.

This is a voluntary position. The Committee will meet at least six times a year and hold extra meetings as required. Any request for a meeting with the external auditors must be met. Meetings will be held out of normal working hours for a period of up to 3 hours per time. More meetings may be required at the discretion of the Chair of the Committee, the Board and/ or the CEO.

Selection Criteria:

SGLMG can only happen with massive community effort and our volunteers; however, it also depends on a backbone of individuals with dedicated specialist knowledge. The successful candidate(s) will have demonstrated experience in risk management, financial acumen, audit, commercial law, governance, compliance, sufficient time and energy, and a questioning attitude.

People and Nominations Committee – Independent Committee Members (Voluntary)

The People and Nominations (PAN) Committee is an advisory committee of the Board of Directors of Sydney Gay and Lesbian Mardi Gras (SGLMG). Its objective is to provide advice and recommendation to the Board on appointments to the Board, Committees and Executives. Develop policies and processes, monitor the effectiveness of the Board and its Committees, build capability and undertake reviews as requested by the Board.

In this role, you will be one of the Independent Committee Members working alongside other Board representatives, the Company Secretary and one of the Executive team to form the PAN Committee. Your strong people, HR and leadership skills will be well placed to provide expert advice and oversight to the Board regarding Executive, Board and Committee appointments and effectiveness, identify areas for capability development, and advise on a range of policy and procedural matters as requested by the Board. You will help to ensure that SGLMG is well placed to support, develop and recognise the skills of our Board and Committees within a diverse and supportive culture.

The successful candidate(s) will bring a range of specialist skills to the Committee, such as HR and people management (including recruitment, talent management & development, culture, and performance management), policy, governance, legal skills, stakeholder engagement, complaints management, codes of conduct, or dispute resolution. Exceptional skills and knowledge are required to effectively design, develop and implement improved policy outcomes for SGLMG, stakeholders, volunteers and the community. You’ll also need demonstrated skills in interpersonal relationships, influence, strong problem-solving skills, critical thinking and analysis.
